These Terms of Service (the "Terms") govern your access to and use of the website ghosted.studio and any related services, content, tools, and communications (together, the "Services") provided by Benjamin Wegener, trading as ghosted.studio, with registered address at AV DO INFANTE, N 8 — 2K, 9000-015 Funchal, Madeira, Portugal, VAT ID PT311119131 (referred to as "we", "us", or "ghosted.studio").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. Eligibility

You must be at least 16 years of age, or the minimum age required in your jurisdiction to form a binding contract, to use the Services. By using the Services, you represent that you meet this requirement.

The Services currently include, and may in future include, the following:

  • Portfolio and informational content — publicly accessible presentation of our work, case studies, articles, and related media.
  • Blog — editorial and informational articles made available for reading free of charge.
  • Newsletter — an opt-in email subscription service. Subscription and unsubscription are governed by the mechanisms provided at the point of signup and in every newsletter email.
  • Enquiries for paid and contract work — contact channels through which you may request a proposal, quotation, or engagement. Any resulting engagement is subject to a separate written agreement; no contract for paid services is formed through the website alone.
  • Tools and features — additional utilities, interactive components, or software that we may make available from time to time. Such additions may be subject to supplemental terms presented at or before first use.

We may add, modify, suspend, or discontinue any part of the Services at any time, in whole or in part, without prior notice, except where applicable law requires otherwise.

3. Contract and paid work

Nothing on the website constitutes a binding offer to perform paid work. Any engagement for paid services is formed only upon execution of a separate written agreement signed by both parties. The scope, fees, timelines, deliverables, acceptance criteria, warranties, and liability for any engagement are governed exclusively by that written agreement, which prevails over these Terms in the event of conflict.

You agree not to:

  • Attempt to gain unauthorised access to any part of the Services, other user accounts, or our systems or networks;
  • Interfere with, disrupt, or impose an unreasonable load on the Services or the infrastructure supporting them;

All content, code, design, trademarks, logos, text, graphics, photographs, videos, and other material made available on the website are owned by ghosted.studio or our licensors and are protected by Portuguese, European Union, and international intellectual property law. No right or licence is granted to you other than the limited right to access and view the Services for your personal, non-commercial use.

Any feedback, suggestions, or ideas you submit to us regarding the Services may be used by us without restriction or compensation to you.

6. User-submitted content

If you submit content to us through any contact form, enquiry form, newsletter registration, or other interactive feature, you represent that you have the right to submit it and you grant us a non-exclusive, worldwide, royalty-free licence to use that content for the purpose of responding to your enquiry and operating the Services.

The Services may contain links to, or embed content from, third-party websites and services. We do not control and are not responsible for such third-party content. Your use of any third-party website or service is subject to the terms and policies of that third party.

To the fullest extent permitted by applicable law, the Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability.

Nothing in these Terms excludes or limits any warranty, right, or remedy that cannot lawfully be excluded or limited under Portuguese or European Union consumer protection law.

10. Limitation of liability

To the fullest extent permitted by applicable law, ghosted.studio shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with your use of the Services, even if advised of the possibility of such damages.

Our total aggregate liability for all claims arising out of or relating to the Services (other than liability which cannot lawfully be limited) shall not exceed one hundred euros (EUR 100) or the amount actually paid by you to us in the twelve (12) months preceding the event giving rise to the liability, whichever is greater.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability which cannot lawfully be excluded or limited.

11. Indemnification

You agree to indemnify and hold harmless ghosted.studio from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of your breach of these Terms or your misuse of the Services, except to the extent caused by our own negligence or wilful misconduct.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have breached these Terms or applicable law. You may stop using the Services at any time. Clauses which by their nature are intended to survive termination shall survive.

We may update these Terms from time to time. The current version is always available at this URL and takes effect upon publication. Where the changes are material, we will take reasonable steps to notify you, for example by a prominent notice on the website or by email where we have a suitable address. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

14. Governing law and jurisdiction

These Terms are governed by the laws of Portugal, without regard to its conflict of laws rules. The courts of Funchal, Madeira, Portugal shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to any mandatory rights available to consumers under the law of their habitual residence.

15. Miscellaneous

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be deemed a waiver of that right or provision. These Terms constitute the entire agreement between you and us regarding the Services, superseding any prior agreements relating to their subject matter.
